We have moved on from this tho, the web site will be back up soon, and i will be trading in the Following.

No contract because we thought we were director's until recently, so we were conned.

Not sure on how the profit of the company stands on that ground.

Weird tho, i guess it will get sorted and the truth will get out the the person behind all this will get into lots of trouble with the law.

Carl,

A company needs to have at least 1 director and a company secretary. The co.sec can also be a director but not the sole director.

In the course of my everyday business I have reported some individuals of limited companies to Companies House as not being fit to be directors (starting up businesses, they go bust without paying the bills, then start another one etc), with the intention to get them barred from holding directorships and being disqualified. They DO take these things seriously and if there is any suspicion of fraud or whatever they WILL take action.

The important thing is they can strip people of existing directorships in the right circumstances AND stop them holding any further directorships.

Usual disclaimer - I don't know the story, and am not suggesting any impropriety, but merely giving you this information.....

Firstly, I'd like to say how impressed I was with the car and I only went out in it when it was the rattly 2.2... However, it seems such a shame that you didn't complete the development and solve all the problems, because then you could have offered to other Scoobie owners a definitive 300bhp @ wheels package. I hope that you did discover the cause of the fuelling problems. However, if you need some help in that regard, I can put you in touch with someone that can build you a custom ECU for around £600 that with the aid of a pukka lamda sensor will self learn a base map (albiet extremely rich to protect the engine) within minutes of the engine being started and can be programmed with Windows software. It also can be connected to a monitor that will provide info as to what all the sensors are seeing and also give warnings if the boost and fuel pressure do not match user programmable figures (can even cut the engine if required to prevent any risk of damage).

I am absolutely disgusted to learn how you have been stitched up over NAM and again if I can do anything to help in this regard as well, then you know where I am. I have already placed my first order with Dingly for your new company NF, just waiting for the Defi gauges to come in....

Guys,

New Age Motorsport Ltd currently has 1 director and 1 secretary who are different people, so no issues there.

I'll echo Dave's comments. I work in Business Recovery and Insolvency and deal with company director's discqualification issues all the time. If you want any help or guidance on this email me. Lets keep it off the bbs. Oh,and if anyone suspects fraud, report it to the police, don't muck about.

Generally speaking,

The profit thing would be down to your contracts as employees. Distribution of profits is, by default, at the discretion of a company's director. If shareholders aren't happy then they can vote directors off, provided they have requisite majority of the shareholding.

I'd assume that anyone puting money in would get shares in return.

If employees are not paid in accordance with contract of employment, they can sue for outstanding salary just like any other creditor. PAYE and NIC arrears are the responsibility of the employer, not the employee, but if nothing is ultimately paid to the employee, then no PAYE or NIC arrears exist.

Anyway, do we know if Harj ever got his 360 Modena

Mind you, at a declared 25, I doubt he'd get insurance...LOL...

sorry to hear about the car having to go, especially under such circumstances. Also sorry to hear about the NAM problems, I would like to hear the other side of the story, but guess we never will, well, not publically on here, maybe on another bbs though

Hope that the new company goes well, you stock some great stuff.

Sorry you feel the way you do about the scoob scene and I can see where you coming from, damned if you do, damed if you don't. To me it seems like people can knock a company like NAM but other companies in the same business don't get knocked, hmm, funny that. It's a weird world.

Kinda feels like the movit thing with me, in that I'm in uncharted territory and many people have said I'm foolish and the kit won't be as good as AP's or whatever, but I'm going through with it, hopefully to prove em wrong, and have some fun at the same time. But no doubt, if it's proved they're great, and I don't doubt it, people will still knock em, oh well, that's the funny old world we live in.

Hope that you do still hang around here and fingers crossed you come to your senses and get another scoob won't be the same without you.

all this from a complete nobody who's never met you, but has seen you in action (oo-er! ), well, on track that is.

Jees its so easy for you people on the BBS to be suckered in

I have had nothing to do with NAM since I was pushed out mid last year! I was asked to setup NAM which I did off my own back, company directorship papers were filled in and signed by both Dingy and Craig which I countersigned of which I have copies with their signatures on.

I invested a few thousand pounds into the business which I have totally lost as NAM and its current runners couldn’t pay back the investment money so I have classed it as a total loss, in accordance to this I have never had anything to do with even the runnings of the business as I never even signed a cheque or processed a single order.

All running of NAM were strictly down to the 2 other people involved, my involvement lasted a few months of which I have lost money. Ive now had to take this into the legal arms which completely protects me against anything to do with NAM as I had ZERO involvement with the company while it was trading. It just strikes me as that certain people are out to ruin my name which at the slightest doesn’t bother me as I and several other respected members of this BBS all know the complete truth about my dealings with NAM.

Just a shame really that it came to this but bitter arguing over something so small only made it fail in my eyes, scary thing was I was shocked to hear that the company was still trading under my name when I resigned as a Director early last summer so the other 2 could have full control over the business.

Oh well such is life, you live and learn

Harj, you are the only listed Director, so the forms me and craig Signed have not been given to companies house.

I have several emails from the scoobynet community of there concern with you bragging that you own NAM and you have conned Both me and craig into the company and us not being listed.

All the dealings of this company make no difference, as you are the 1 share holder and 1 director, therefore you conned both me and craig.

The only people that were suckered into this were me and craig.

If people want to believe you then fine, its an aweful shame they don't, plus its nice to see the 360 has arrived.

We are setting up a new company so we don't have anything to do with you, there are several people in this community that have been conned by you, i can't believe you are still posting lies.

That's what you thrive on isn't it.

when the company was being setup, you volunteered to sort all the bank accounts, company directors forms etc etc. Everything was signed by all 3 and you took all the info, supposedly to be sent of to Companies House to register and form the NAM.

It was only a few months after you "left" that we had numerous people tell us that you thought it was quite funny that you owned NAM and Steve and I didn't realise it.

It is indeed a shame it has come to this - and a shame you've lost a little bit of money (which in itself was only a fraction of what you promised) whereas I have lost a lot.

Bickering and lying about what you've done will not get anyone anywhere or change anything, so I agree it is best to lock this thread now to avoid a pointless slanging match.
