Tell your firend and let him take it up with the company. At the end of the day he may know and tell you it's fine to go for it in which case you are getting worked up over nothing. If he doesn't know make sure he doesn't tell them who told him or again you are in a pants situation.
Frankly I'd be looking for another job if the company is treating staff that badly. Still your best bet is to tell your friend the situation.

I've been out cleaning my car all day and made up my mind, I shall not be taking the job, not only because I think its the wrong thing to do towards my friend but I don't think its the right job for me either.

Brief your mate on employment law beforehand, then take the job. When he wins the claim of unfair disissal or whatever it is he goes for, split the pay out

I don't see how he could be sacked (if that is what you mean) because he has decided he doesn't want a different job on offer.
Assuming his current job is safe and he is performing well (which I assume he obviously is if they were willing to promote him), how could he possibly be at risk by not progressing? A workplace can't force people to go further so far as I'm aware. They can encourage it and offer the opportunity, but not chuck you out the door if you don't wish to accept.....

The way I see it is Jamz would quite happily leave if another opportunity arose, and that combined with not wanting to shaft a mate has made his mind up. If he had real love for the company or the job on offer, the decision would've been much more difficult. I don't like to assume too much, but I'd imagine he really knew what he was probably going to do before even asking (or at least which way he was leaning)
The really difficult part is does he tell his mate now he has made the choice...
I would be careful about this if it is even a consideration. While I'd say that the 'right' thing to do is prewarn his mate, if he is the only other person who knows about this, that could be a big mistake (even if not he has to then assume his mate is that trustworthy, possibly he is but who knows for sure). At the end of the day, for now he has to work there and I'm not sure how kindly his employers would take to him spilling the beans. It's one thing to turn a job down, but a different story letting this info get to his pal that quite possibly has no idea what is going on/possibly going to happen. This is really a bigger moral question tbh.

Tell him. If he's a mate, he will appreciate the predicament you've been put in. He will probably thank you for the "heads up".....
